End User Licence Agreement (EULA)

Parties and acceptance
This End User Licence Agreement (“EULA”) is a binding contract between you (“you” or “User”) and Navioo Ltd (“Licensor”, “we”, “us”) governing your installation and use of the Navio mobile application(s), Progressive Web Apps, desktop clients we may distribute, and any software updates we provide for those clients (together, the “Licensed Software”).
By downloading, installing, accessing, or using the Licensed Software, you agree to this EULA. If you do not agree, do not install or use the Licensed Software.
Use of mobility services accessed through the Licensed Software remains subject to our Terms of Service and Privacy Policy, which are incorporated by reference wherever they overlap with licensed use.
Licence grant
Subject to this EULA and your compliance with the Terms of Service, Licensor grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable licence to install and run object-code copies of the Licensed Software on devices you own or control, solely to access authorised Navio services for your personal use or for your authorised business use under a valid enterprise agreement.
You may not rent, lease, lend, sell, redistribute, or sublicense the Licensed Software except where app store rules expressly permit household or device-based sharing offered by the store operator.
Restrictions
Except where applicable law forbids such restrictions, you must not:
- copy, modify, translate, adapt, or create derivative works from the Licensed Software;
- reverse engineer, decompile, disassemble, or otherwise attempt to obtain source code except to the minimal extent permitted by statute;
- circumvent technical protections, quotas, telemetry used for fraud prevention, or geographic controls;
- remove proprietary notices from the Licensed Software;
- use the Licensed Software to build or train a competing product, conduct excessive automated load testing against our servers without consent, or harass other users or drivers;
- distribute malicious code via or through modified builds of our clients.
Updates
Licensor may provide patches, enhancements, features, or security fixes (“Updates”). Certain Updates may download and install automatically. Updates form part of the Licensed Software for purposes of this EULA unless accompanied by separate terms presented at install time, in which case those terms control for that Update alone.
Third-party materials
The Licensed Software may include components licensed from third parties, including fonts, analytics SDKs, mapping tools, payment SDKs, and open-source libraries. Attribution and licence notices may appear inside the app settings or bundled documentation required by upstream licensors.
Consent to use information
Data collected via the Licensed Software is described in the Privacy Policy, including identifiers, logistics data, diagnostics, crash logs where enabled, and location data tied to bookings that you expressly permit through OS permissions.
Reservation of rights
As between you and Licensor, Licensor and its suppliers retain all right, title, and interest in the Licensed Software, trademarks, logos, imagery, compilation, databases, APIs, workflow designs, templates, prompts, copy, and trade secrets embodied therein or accessible through authorised use. Except for the express licence granted above, no rights pass to you.
Term and termination
This licence remains effective until terminated. Your rights terminate automatically if you breach material provisions of this EULA or the Terms of Service. Upon termination you must cease using the Licensed Software and delete all copies residing on devices you control, aside from archival copies mandated by statute.
Removing the Licensed Software from a device ends only the licence to that copy until you reinstall under a new acceptance flow; outstanding fees, investigations, or legal obligations survive.
Disclaimer of warranties
To the fullest extent permitted by Nigerian law (and supplemental consumer laws that may apply depending on how you acquired the Licensed Software through an app storefront), the Licensed Software is provided “AS IS” and “AS AVAILABLE” without warranties not expressly granted in writing by Licensor, including merchantability or fitness for a purpose where such disclaimers remain enforceable after mandatory rights are respected.
Limitation of liability
Nothing in this EULA excludes or limits Licensor liability for death or personal injury caused by its proven negligence, fraud, fraudulent misrepresentation, or any liability that Nigerian law forbids restricting.
Subject to the preceding sentence and any non-waivable consumer relief, Licensor aggregate liability arising from the Licensed Software in any twelve (12)-month window is limited to the greater of fees you paid Licensor specifically for downloadable software licences (not trip fares conveyed to drivers) during that window or ₦50,000, whichever is larger, unless a court finds a higher mandated floor applies.
Licensor is not liable for indirect, punitive, incidental, special, consequential, or exemplary losses (lost profit, reputational injury, goodwill, data corruption from your failure to back up devices) attributable to use of the Licensed Software, except where such exclusion is unlawful.
Indemnity
You agree to indemnify, defend where permitted, and hold harmless Licensor affiliates, officers, directors, employees, and contractors against third-party claims, fines, liabilities, losses, damages, arbitration costs, regulators’ administrative penalties, or reasonable solicitors’ fees where such claims arise from your unlawful use or deliberate misuse of the Licensed Software contrary to signed policies, except solely to the extent caused by Licensor breach of confidentiality or wilful misconduct.
Import and export controls
You represent that you are not located in a jurisdiction subject to embargo or prohibition that would bar download of the Licensed Software and that your use complies with applicable sanctions and export-import rules of Nigeria where you reside when you subscribe to Navio services.
Governing law
This EULA is governed by the laws of the Federal Republic of Nigeria, without regard to conflicts-of-laws doctrines that might select another substantive law, subject to overriding consumer-protection rules enforced at the storefront through which you installed the Licensed Software.
Venue for disputes rests with courts of competent jurisdiction in Nigeria except where storefront policies or consumer rules require dispute resolution mechanisms you cannot waive electronically.
Commercial users
If you procure the Licensed Software on behalf of a company, government unit, NGO, fleet, broker, dispatcher, or insurer, you represent that you possess authority to bind that organisation. The organisation adopts this EULA for authorised employee use and supplemental master services agreements prevail where conflicting.
Relationship to storefront terms
When you downloaded the Licensed Software from Apple App Store or Google Play, their rules also apply solely with respect to your relationship as consumer of distribution services supplied by Apple or Google, including refund procedures for purchase of digital storefront credit (if any).
Changes
We may revise this EULA by posting updates in-app or on our website. Material revisions may require tapping an accept button prior to continuing use of the Licensed Software after an Update ships. Continuing use after notice where permitted signifies acceptance unless you uninstall and discontinue use entirely.
