Terms of Service

Agreement
These Terms of Service (“Terms”) form a binding agreement between you and Navioo Ltd, a company registered in Nigeria (“Navioo Ltd”, “we”, “us”). They govern access to or use of the Navio websites, applications, and related offerings (the “Platform”) within Nigeria.
By creating an account, requesting or accepting trips through the Platform, or continuing to use the Platform, you confirm that you have read, understood, and agree to these Terms and our Privacy Policy. If you install our mobile or desktop clients, you also agree to the End User Licence Agreement (EULA).
If you do not agree, do not use the Platform.
Eligibility and accounts
You must be at least eighteen (18) years old and capable of forming a legally binding contract under Nigerian law. You agree to provide accurate, current information and to promptly update details that change.
You are responsible for safeguarding login credentials and for all activity under your account. Notify us immediately at support@naviorides.com if you suspect unauthorised access.
Nature of the Platform
Navio provides an intermediary digital marketplace connecting independent drivers or fleet partners with riders seeking transportation services in Nigeria. Unless expressly stated otherwise,Navioo Ltd does not itself provide transportation services as a carrier; drivers are independent contractors or employees of fleet partners as determined by their separate arrangements.
Service availability, estimated fares, ETAs, vehicle categories, and coverage areas may vary by city and are subject to operational adjustments, regulatory requirements, and demand conditions.
Fares, payments, and taxes
Fares are quoted in Nigerian Naira (₦) through the Platform before a trip is confirmed, subject to dynamic pricing, route changes, tolls, or surcharges disclosed in-app where applicable. You authorise us and our payment partners to charge your selected payment method for completed trips, cancellation or no-show fees disclosed at booking, tolls, cleaning or damage charges where legitimately assessed, and amounts due under promotions you accept.
Refund and chargeback handling follow the rules shown in-app and may require review of trip records. You are responsible for applicable taxes (including VAT where chargeable) except where we are legally required to collect and remit on your behalf as shown at checkout.
Conduct and acceptable use
You agree not to:
- use the Platform for unlawful, harassing, discriminatory, or dangerous activity;
- impersonate another person or misrepresent affiliation with any entity;
- circumvent payments, solicit off-Platform trips to evade commissions, or manipulate ratings;
- interfere with app security, scrape data without permission, or reverse engineer except as allowed by law;
- carry prohibited items or exceed vehicle capacity contrary to driver instructions or law.
We may suspend or terminate accounts that violate these rules or jeopardise rider, driver, or public safety.
Drivers, fleets, and corporate accounts
Drivers and fleet partners must enter separate onboarding flows and agreements covering licensing, insurance, vehicle standards, commissions, and payouts. Corporate programme administrators agree to Navio Business terms issued at signup.
Cancellations and disputes
Cancellation charges may apply according to in-app timing rules. Disputes regarding fares, behaviour, lost items, or vehicle damage should first be submitted through in-app support with accurate descriptions and evidence. We may facilitate communication between parties but are not obliged to resolve extra-contractual disputes between riders and drivers beyond remedies expressly stated in these Terms or mandatory consumer laws.
Intellectual property
All trademarks, logos, software, content layouts, and documentation belonging to Navioo Ltd remain our exclusive property or that of our licensors. No licence is granted except the limited, revocable right to use the Platform for personal or authorised commercial mobility purposes.
Disclaimer
The Platform is provided on an “as is” and “as available” basis to the fullest extent permitted by Nigerian law. We disclaim warranties not expressly stated here, including implied warranties of merchantability or fitness for a particular purpose where disclaimable.
Limitation of liability
Nothing in these Terms excludes or limits liability that cannot legally be excluded under the Federal Republic of Nigeria, including liability for death or personal injury caused by negligence where liability cannot be limited.
Subject to the foregoing, Navioo Ltd, its directors, employees, and affiliates shall not be liable for indirect, incidental, special, consequential, or punitive losses (including lost profits or reputational harm) arising from use of the Platform.
Total aggregate liability arising out of or relating to the Platform for any twelve-month period shall not exceed the greater of (a) the fees paid by you to Navioo Ltd for Platform services during that period, excluding amounts paid directly to drivers for fares where processed solely as pass-through, or (b) ₦50,000, except where higher mandatory limits apply under consumer protection legislation applicable to your transaction.
Indemnity
You agree to indemnify and hold harmless Navioo Ltd against claims, fines, losses, or expenses (including reasonable legal fees) arising from your breach of these Terms, misuse of the Platform, violation of third-party rights, or breach of applicable Nigerian regulations, except to the extent caused by our wilful misconduct.
Suspension and termination
We may suspend or terminate access immediately where necessary for legal compliance, fraud prevention, safety, or material breach. You may delete your account through in-app settings or by contacting support; some retention may remain as described in our Privacy Policy.
Force majeure
We are not liable for delay or failure caused by events beyond reasonable control (including network failures, strikes, civil unrest, fuel shortages, epidemics, or government actions affecting transport markets in Nigeria).
Governing law and disputes
These Terms are governed by the laws of the Federal Republic of Nigeria. Subject to any non-waivable rights you may have under consumer protection legislation, disputes shall be resolved in the courts of Nigeria having competent jurisdiction.
Where regulations require pre-action mediation or complaints to sector regulators, you agree to comply with those procedures before initiating litigation.
Miscellaneous
If any provision is held invalid, the remainder remains enforceable. Failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or asset sale upon reasonable notice where feasible.
